Terms of Use

1. Agreement

By accessing or using Intelligenza, you agree to these Terms of Use. If you use the product on behalf of an organization, you represent that you have authority to bind that organization.

2. The service

Intelligenza provides tools to design visual customer journeys, send emails, manage contacts/preferences, and related automation features. Features may change as we improve the product. Beta or free tiers may have limits (for example contact caps or branding).

3. Accounts

You are responsible for account credentials and for activity under your workspace. Provide accurate information and keep access secure. We may suspend accounts that pose security, abuse, or legal risk.

4. Customer content & messaging compliance

You retain ownership of content you upload (contacts, templates, journeys, etc.). You grant us a license to host and process that content solely to provide the service.

You are solely responsible for complying with applicable email, privacy, and marketing laws (including consent, unsubscribe, and content rules) for messages you send. Do not use Intelligenza to send spam, unlawful content, or phishing.

5. Acceptable use

You may not:

• Probe, disrupt, or circumvent security or rate limits.
• Resell the service without permission, or misuse APIs/webhooks.
• Upload malware or attempt unauthorized access to other workspaces.

6. Fees

Paid plans, if offered, are billed according to the pricing shown at purchase. Taxes may apply. Failure to pay may result in suspension. Free tiers may include branding or feature limits.

7. Intellectual property

Intelligenza, its UI, documentation, and branding are owned by Pivony or its licensors. These Terms do not grant you ownership of our software or marks.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIVONY AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR USD $100 IF YOU ARE ON A FREE PLAN).

10. Termination

You may stop using the service at any time. We may suspend or terminate access for breach of these Terms or for risk to the platform. Provisions that by nature should survive (including IP, disclaimers, and liability limits) will survive termination.

11. Changes

We may update these Terms. Material changes will be reflected by the “Last updated” date. Continued use after changes become effective constitutes acceptance where permitted by law.
